Plain English Terms - AGS Regional Alliance Partnership & Infrastructure Agreement
This “Plain English” version is meant to make the key terms easier to understand. It summarizes the relationship between AGS Infrastructure LLC (“Company”), operating the Central Florida Care Alliance (“CFCA”), and the participating home care agency (“Partner”) that is invited into and enrolls in the Agency Growth System (“AGS”). If there is any conflict between this Plain English version and the full agreement, the full agreement controls.
1. Regional Alliance Mission (and how AGS fits)
Mission Statement (Regional Alliance): CFCA exists to help families in Central Florida find trustworthy home care options while strengthening the visibility, accuracy, and discoverability of quality local providers. CFCA is built to function as a regional alliance, directory, and community information hub—not a traditional marketing agency.
The Partner acknowledges that the Central Florida Care Alliance (CFCA) is the primary public-facing platform. The ecosystem operates on a tiered progression:
Layer 1: Public Directory (Primary Focus).
Layer 2: Verified Agency Membership.
Layer 3: Visibility Insight and Infrastructure Review.
Layer 4 (AGS): Limited Implementation Support (invitation-only)
AGS is limited and selective. AGS is not a general marketing service; it is a specialized infrastructure implementation program limited to a maximum of ten (10) active agency partners within the region.
2. What you get (Scope of Infrastructure Services)
If the Partner is invited and accepted into AGS, the Company will provide the following infrastructure support:
24/7 A.I. Concierge Commitment (Voice + Text): The Company will integrate proprietary voice and text-based A.I. associates (e.g., “Rachel” and “Rob”) to help manage inquiries from families 24 hours a day, 7 days a week, including lead capture and routing based on the Partner’s onboarding inputs and operational preferences.
Daily Content Creation (Monthly Delivery): The Company will create and deliver a steady cadence of educational, trust-building content for the Partner’s social presence. This includes thirty (30) days of content per month (designed for daily posting), intended to help position the Partner as a credible regional resource.
CFCA Priority Status: Verified status and priority placement within the Central Florida Care Alliance directory, consistent with CFCA’s public-facing structure.
Onboarding & “Brand DNA” Setup: An onboarding process to align the A.I. concierge behavior and content tone with the Partner’s style, services, and intake preferences.
3. Investment and Payment Terms
The Partner agrees to the following fee structure for the AGS Infrastructure:
Implementation Fee: A one-time setup and brand integration fee of $2,000.00.
Monthly Infrastructure Fee: A recurring monthly management fee of $2,750.00.
Payment Method: All payments are processed via the Company’s merchant gateway (Stripe). By providing payment information, the Partner authorizes recurring monthly billing for the duration of the term.
4. Term (13-month commitment)
The AGS Partner Program requires a thirteen (13) month commitment. The reason for the 13-month term is to allow time to properly set up, stabilize, and optimize the A.I. concierge infrastructure and to allow the content and authority-building strategy to compound over time.
5. Intellectual Property and Usage Rights
Proprietary Tools: The A.I. Concierge systems (Rachel/Rob) and the underlying AGS Growth Engine technology remain the exclusive property of AGS Infrastructure LLC. The Partner is granted a limited, non-transferable license to utilize these tools for the duration of the partnership.
Partner Content: Any specific "Brand DNA" or proprietary agency information provided by the Partner remains the property of the Partner.
Work Product: Digital content created by the Company for the Partner is intended for the Partner’s use in building regional trust and authority.
6. Professional Relationship and Liability
Independent Contractor Status: The relationship between the Company and the Partner is that of an independent contractor. This agreement does not create an employer-employee relationship, partnership, or joint venture.
No Guarantee of Results: While the AGS is designed to strengthen visibility and lead capture, the Company does not guarantee specific financial returns or census numbers. The system is a tool for infrastructure improvement and professional positioning.
Regional Exclusivity: To protect the results of AGS partners, the Company limits participation to a small number of agencies in the Central Florida region to avoid conflicts of interest.
7. Confidentiality
Both parties agree to maintain the confidentiality of proprietary business practices, lead data, and technical configurations shared during the term of the partnership.
8. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, where the Company's infrastructure LLC is registered.
9. Acceptance of Terms
By participating in AGS and paying the $2,000.00 Implementation Fee (and/or paying the $2,750.00 monthly infrastructure fee), the Partner accepts these Plain English Terms and the associated AGS Regional Alliance Partnership & Infrastructure Agreement.
