1. Overview of Services and Platform Philosophy
AGS Infrastructure LLC (the "Company") operates the Central Florida Care Alliance (CFCA), a regional authority and information hub designed to connect families with home care providers. The Company provides a multi-tiered engagement structure ranging from public directory listings to high-level operational infrastructure support known as the Agency Growth System (AGS).
By participating in any tier of the CFCA platform, the participating agency ("Partner") agrees to these Terms of Service.
2. The CFCA Ecosystem Tiers
The relationship between the Company and the Partner is governed by the following progression:
Layer 1 – Public Directory: A complimentary resource for families to discover local agencies.
Layer 2 – Verified Membership: An annual membership providing enhanced profile visibility, verified status, and priority placement within the regional directory.
Layer 3 – Visibility Insight: An educational review of the Partner’s digital footprint, identifying gaps in search visibility, engagement tools, and listing consistency.
Layer 4 – AGS Infrastructure Partnership: A limited-enrollment, high-touch implementation service for selected agencies to integrate advanced AI and social infrastructure into their operations.
3. AGS Regional Alliance Partnership Terms
The Agency Growth System (AGS) is not a traditional marketing service but a business infrastructure partnership. Acceptance into AGS is by invitation only and is limited to a maximum of ten (10) partners per region to ensure exclusivity and protect regional results.
This is a thirteen (13) month “Regional Alliance Partnership.” We provide the A.I. Infrastructure (Rachel/Rob), the Social Engine (daily cinematic-level content), and CFCA Verified Directory placement.
A. Partnership Scope (What’s Included)
Partners enrolled in AGS receive access to the "AGS Growth Engine," which includes:
A.I. Infrastructure (Rachel & Rob): 24/7 voice-activated and text-based AI assistants to manage lead intake, FAQs, and caregiver inquiries. The A.I. “Concierge” (Rachel) and “Gatekeeper” (Rob) are provided as part of the AGS Infrastructure. Rachel is a specialized AI associate trained in the “CFCA Brand Voice” to ensure empathy and accuracy.
Social Engine: Daily content creation and automated scheduling of high-authority, cinematic-quality educational content designed to establish the Partner as a regional household name.
CFCA Verified Directory Placement: Verified status and priority positioning within the Central Florida Care Alliance directory.
B. Commitment and Term
The AGS Partnership requires a mandatory thirteen (13) month fixed commitment. This duration is necessary to properly train the A.I., build the required digital momentum, establish authority within the CFCA ecosystem, and support growth in the Partner’s private pay census.
C. Financial Investment
Implementation Fee: A one-time setup and brand DNA onboarding fee of $2,000.00.
Monthly Infrastructure Fee: A recurring monthly management and maintenance fee of $2,750.00.
Billing: All fees are processed via AGS Infrastructure LLC’s authorized merchant processor (e.g., Stripe). Implementation fees are due upon signing, and monthly fees are billed in advance of each 30-day service cycle.
4. Ownership, Intellectual Property, and Data
Your Brand: The Partner owns its logo, agency name, and all client leads generated.
Infrastructure Output: Content generated by the AGS engine for the Partner’s social media and directory presence is licensed to the Partner for use during the term of the agreement.
The “Machine” / System Proprietary Rights: AGS Infrastructure (including the underlying A.I. logic, scripts, and content delivery systems, and any “Rachel” and “Rob” voice/text models) remains the property of AGS Infrastructure LLC.
5. Professional Standards, Limitations, and Disclaimer
Trust-Based Model: Partners agree to maintain the professional standards of the Central Florida Care Alliance. AGS Infrastructure LLC reserves the right to terminate the partnership if a Partner’s actions undermine the community trust established by the CFCA platform.
No Guarantee of Census: While AGS is designed to protect the Partner’s census and improve lead capture, AGS Infrastructure LLC does not guarantee specific financial returns or private pay patient counts, as these are subject to the Partner’s internal clinical and operational fulfillment.
Support Infrastructure Disclaimer: AGS is a support infrastructure. While AGS Infrastructure LLC may use advanced A.I. tools and systems to improve visibility, lead capture, and operations, the Partner is solely responsible for the final quality of care and services provided to families.
Relationship Disclosure: This agreement does not create an employer-employee relationship. AGS is a B2B infrastructure service designed to reduce the Partner's reliance on traditional marketing personnel.
6. Termination and Continuity
To maintain the “10-Partner Cap” per region, partnerships are exclusive. Following the initial 13-month commitment, the partnership moves to a month-to-month renewal unless either party provides thirty (30) days' written notice of non-renewal. Early termination by the Partner during the initial 13-month term requires sixty (60) days’ written notice and settlement of the remaining infrastructure costs to support an orderly transition, as further outlined in the private Partnership Agreement.
7. Governance
These terms are governed by the laws of the State of Georgia. Any disputes arising from the CFCA platform or AGS infrastructure shall be handled via the dispute resolution processes outlined in the primary Partnership Agreement, subject to any applicable arbitration opt-out notices filed by the Partner.
